Our services include consultation and strategic advice, contract drafting and review, negotiation, due diligence and coordination of closing. Finance and Development Our legal practice includes the representation of clients on various real estate development projects, including the redevelopment of existing buildings and properties. Past projects include large major office buildings, industrial parks, multi-family residential projects and mixed use developments. We work in tandem with the applicable governmental authorities and general contractors to ensure that the project is completed on time and within budget. We also assist our clients obtain and negotiate suitable financing. Environmental and Sustainability Environmental issues are present in every real estate transaction and must be appropriately addressed. We work proactively with our environmental attorneys regarding any environmental issues that may arise in real estate development or redevelopment projects. Ever mindful of our environmental responsibilities, we regularly represent clients interested in the sustainability of their “green” projects and the various elements that go into an environmentally-friendly development. Leasing, Lease Modifications and Tenant Issues Our legal practice includes the representation of both landlords and tenants in the negotiation and drafting of complex commercial leases and ground leases pertaining to office, retail, warehouse, medical and other commercial properties. There are many times when landlords and tenants desire to modify or renegotiate the terms of a lease. In such situations, we focus on the best possible outcome for our client. Lending We handle lending transactions of all types and sizes, including asset based loans, lines of credit, working capital loans, credit facilities, loan participations, loan purchases and loan modifications. Our client base includes sophisticated borrowers, as well as regional banks, community banks and other financial institutions across the country. We take pride in our ability to provide practical, efficient and cost-effective legal services to our lending and borrowing clients. Litigation and Disputes As a result of our continual communications with our clients regarding their projects and business practices, we help our clients prevent and avoid litigation. When disputes arise, however, we aggressively defend our clients against claims and liability allegations. Our representation often includes litigation involving particular real estate transactions or the financing of those transactions, environmental litigation, disputes among employees of our clients and claims of wrongful injury on a particular real estate project or development.
Bankruptcy and Reorganization We often represent clients that have vendors, suppliers or partners that undergo bankruptcy proceedings or reorganization. When these situations arise, we help our clients navigate the complex issues resulting from such proceedings, and we diligently defend our clients against adverse rulings and unfavorable outcomes. We also engage in frequent discussions with our clients about their business practices and economic viability in hopes of mitigating bankruptcy or reorganization risks. |
