Experience

Mr. Bloomer’s practice focuses primarily on sophisticated real estate, lending, general corporate and commercial transactions. He has over eleven years of experience in negotiating, structuring and closing transactions throughout the United States and Canada. Mr. Bloomer’s past ownership of a successful real estate company and his education in business uniquely enable him to connect with his clients from a business perspective. He actively works to meet client objectives, evaluating risks and formulating exit strategies to ensure bottom line success. 
 
Mr. Bloomer regularly handles a wide variety of transactions for real estate and finance clients. His real estate clients include developers, institutional and private investors, brokers, property and asset management companies, landlords and tenants, among others. He represents clients in acquisition, development, construction, financing, adaptive reuse, various types of leasing, stock purchase, operation, management, and other matters. He has worked with a full range of property types, from raw land to condominium regimes, and low-income housing to high-rise office buildings.
 
Mr. Bloomer also works with both lending institutions and commercial borrowers in the negotiation, due diligence investigation, structuring, documentation and closing of commercial and project finance transactions. Some examples of loan commitments include acquisition, demolition, development, construction and renovation loan transactions, refinancing, mezzanine, equity and subordinate debt financings, renewals and foreclosures. 
 
Recent projects include representing a multi-national real estate developer in transactions exceeding $3.0 billion, representing commercial and retail landlords in handling over 2.75 million square feet of space, and representing a national financial institution as lead lender and syndicator of a $50,000,000 loan related to the acquisition, development, construction and management of four commercial office buildings and one restaurant.

Additionally, Mr. Bloomer represents clients in all aspects of commercial and general business transactions, including the drafting, review, structuring, negotiation and enforcement of contracts related to real, personal and intangible property, employment (including non-compete and non-solicitation provisions), partnership, shareholder, limited liability company and joint venture agreements and private offerings.

Representative Matters
  • Representation of a prominent national commercial real estate firm (and certain affiliates thereof) in multiple transactions exceeding $3.0 billion in connection with the acquisition, financing (both debt and equity), refinancing, development, construction, renovation, management, leasing and disposition of luxury apartment, condominium, student housing and mixed-use development communities located in California, Colorado, Florida, Maryland, Massachusetts, Pennsylvania, Virginia, Washington D.C. and Canada.
  • Representation of national and regional commercial and retail landlords in negotiation of various leases with national tenants, including major national chains in the entertainment, retail, educational, automotive, and restaurant industries.
  • Representation of a wholly-owned subsidiary of a prominent investment firm in the adaptive reuse of a 26-story downtown Dallas, Texas, office building.
  • Representation of landlord in the negotiation of a master form triple-net lease agreement for a 1,258,867 gross square foot high-rise office building located in downtown Houston, Texas (former Enron building).
  • Representation of a major national bank in various transactions, including as the lead lender and syndicator of a $50,616,500 loan related to the acquisition, development, construction and management of four (4) commercial office buildings and one (1) restaurant located in the City of Phoenix, Maricopa and Scottsdale Counties, Arizona.
  • Representation of a major national bank in connection with various commercial loans, loan workouts, modifications, renewals and foreclosures with total value of transactions in excess of $155,000,000.
  • Representation of an oil and gas exploration and production company (and certain affiliates thereof) in the acquisition, financing and sale of $330,000,000 of various oil and gas plants, gathering facilities, gas pipelines and related equipment in the State of Texas and Arkansas.
  • Representation of a major international corporation (and certain affiliates thereof) in connection with the acquisition, financing, construction, management, and disposal of hospitals and medical office buildings.
